Terms of Service

Welcome to Memori. By using our app, you agree to these terms. Please read them carefully.

1. About Memori

Memori is a journal and memory book app that lets you capture, organise, and share your favourite moments. Never miss a memory. The service is provided by Memori ("we", "us", "our").

2. Eligibility

You must be at least 13 years old to create an account. If you are under 18, you confirm that a parent or guardian has reviewed and agreed to these terms on your behalf.

3. Your Account

• You can sign in using a magic link, Google OAuth, or Apple Sign-In
• You are responsible for maintaining the security of your account credentials
• You must provide accurate information when creating your account
• You are responsible for all activity that occurs under your account
• Notify us immediately if you suspect unauthorised access to your account

4. Your Content

You own your content. Journal entries, photos, voice recordings, and any other content you create in Memori remain your intellectual property.

By using Memori, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the service to you. We will never use your content for advertising, training AI models, or any purpose unrelated to delivering the Memori service.

5. Shared Journals

• When you invite someone to a journal, they can view all entries in that journal
• Journal owners can remove members and manage access at any time
• When you leave or are removed from a shared journal, you keep read access and can export your contributions for 7 days, after which your access ends. The memories you added remain in the journal for its other members
• A journal that has no active members may be permanently deleted after a period, and we will email before that happens
• You are responsible for the content you post in shared journals
• Do not share content that infringes on others' rights or is unlawful

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Upload content that is harmful, threatening, abusive, or violates the rights of others
• Attempt to gain unauthorised access to other users' accounts or data
• Interfere with or disrupt the service or its infrastructure
• Use automated tools to scrape or extract data from the service
• Reverse-engineer, decompile, or attempt to extract source code from the app

7. Voice Transcription

Memori offers a voice-to-text feature powered by OpenAI's Whisper API. When you use this feature:

• Your audio recording is sent to OpenAI for transcription
• The audio is processed in real time and is not stored by OpenAI or Memori
• Transcription results may not be 100% accurate. You can always edit the text

8. Memory Books

The Memory Book feature generates PDF documents from your entries. These are generated on our servers and delivered to your device. We keep the print-ready file for your book for 180 days after it is created, then delete it. If a print order for your book is still in progress at that point, we keep the file until the order has finished. If you delete your account sooner, the file is deleted with it. Rarely, a stored copy cannot be deleted straight away. Its link in Memori is removed at once, a download link already given out keeps working for up to 24 hours, and the copy is kept privately until we remove it. You can't delete a book, or your account, while an order for that book is in progress. An order counts as in progress from when you start paying for it: for up to 1 hour if you do not finish paying, for up to 8 days if your card payment was authorised but the order was not placed, and otherwise until the order has finished and any payment or refund has been settled. Once the order has finished and any payment or refund has been settled, deletion works as normal.

9. Free Trial and Subscription

Memori offers a 14-day free trial to all new users. During the trial you have full access to all features. After the trial expires:

• Read-only access: You can browse existing entries but cannot create new ones, share journals, generate Memory Books, or use voice transcription
• Subscribe to continue: You can subscribe to restore full access. Subscription pricing is displayed in the app

When your trial or subscription ends, your account becomes read-only: you can still view and export your memories. We never delete your memories for inactivity while you have an active subscription. If you have no active subscription and don't use the app for around 90 days, we will email you. If you don't sign in or subscribe within 30 days of that email, your memories may be permanently deleted. We'll email you again 7 days before that happens. Signing in or subscribing at any time before then stops it.

Subscription purchases are processed through Apple App Store or Google Play Store. Renewal, cancellation, and refund policies are governed by the respective store's terms. You can manage your subscription at any time through your device's subscription settings.

10. Data and Privacy

Your privacy matters to us. Please review our Privacy Policy for details on how we collect, use, and protect your data. Key highlights:

• We use anonymised analytics (PostHog) solely to improve the app. No personal content is tracked
• We do not use advertising SDKs or build advertising profiles
• You can export your data, including when your account is read-only
• You can request account deletion at any time. In-app deletion can't finish while a print order is in progress; once it has finished and any payment or refund has been settled, you can try again. You can still contact us about your data rights while an order is in progress. See Section 13 for what is removed and what stays. We keep two limited records of the deletion: an audit record with your account ID and email address, deleted 2 years after the deletion starts; and a technical record of what was removed and whether each step completed, with no email address, deleted 2 years after the deletion has completed (if a step has not completed, we keep it until it has). We keep them so we can show that your deletion request was completed and investigate security incidents

11. Notifications

With your permission, Memori may send push notifications for:

• Daily memory reminders (optional, with a time and days you choose)
• Trial ending reminders (before your free trial ends)
• Journal access ending (when you leave or are removed from a shared journal, and again 2 days before your access ends). We also send these by email
• Comments, reactions and mentions on shared memories

You can turn off all notifications at any time in your device settings. In the app, you can also choose when daily reminders arrive, or turn them off.

12. Service Availability

We strive to keep Memori available at all times, but we do not guarantee uninterrupted access. The service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service downtime.

13. Termination

• By you: You can request account deletion at any time. In-app deletion can't finish while a print order is in progress; once it has finished and any payment or refund has been settled, you can try again. You can still contact us about your data rights while an order is in progress. You can delete it in the app, or ask us through the Delete your Memori account page. Deletion removes your account, your profile, journals that only you are in (with all their memories and photos) and your Memory Book files from the live service; copies in our providers' backups expire on their normal backup cycle. We keep two limited records of the deletion: an audit record with your account ID and email address, deleted 2 years after the deletion starts; and a technical record of what was removed and whether each step completed, with no email address, deleted 2 years after the deletion has completed (if a step has not completed, we keep it until it has). We keep them so we can show that your deletion request was completed and investigate security incidents. Shared journals that still have other members stay for those members, and the memories you added remain in them, with your name removed.
• By us: We may suspend or terminate accounts that violate these terms, with notice where reasonably possible.
• By inactivity: See Section 9 for when memories may be deleted from an account without an active subscription.

14. Limitation of Liability

Memori is provided "as is" without warranties of any kind. To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• We are not responsible for data loss caused by circumstances beyond our reasonable control
• Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim (if any)

Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

15. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by updating the "Last updated" date. Continued use of the app after changes constitutes acceptance of the updated terms.

16. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
